1. Acceptance of Terms

By accessing or using BeatDesk.io (the "Service"), operated by BeatDesk Inc. ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Definitions

  • "Service" refers to the BeatDesk.io web application, APIs, and all related tools and features.
  • "User" refers to any individual or entity that registers for and uses the Service.
  • "Content" refers to any data, text, pitches, campaigns, or other materials you submit through the Service.
  • "Journalist Data" refers to publicly sourced information about media professionals available through the Service.

3. Account Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

You must be at least 18 years old to create an account. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Service Description

BeatDesk.io is a media contacts platform designed for public relations professionals, with a focus on the Canadian (Quebec) media landscape. The Service provides:

  • AI-powered pitch analysis and journalist matching based on beat relevance
  • A curated and continuously updated database of journalists and media contacts
  • Email campaign tools that send personalized outreach on your behalf via connected email accounts
  • Campaign tracking, team collaboration features, and analytics

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Send unsolicited bulk email (spam) or harassing communications to journalists or any other recipients
  • Use the Service to distribute malware, phishing content, or fraudulent material
  • Attempt to scrape, reverse-engineer, or extract data from the Service beyond what is provided through the intended interface
  • Share your account credentials with unauthorized third parties or allow others to access the Service through your account
  • Violate any applicable Canadian federal or provincial law, including Canada's Anti-Spam Legislation (CASL)
  • Misrepresent your identity or the nature of your communications when using our email sending features

6. Email Sending and CASL Compliance

The Service allows you to send emails to journalists and media contacts using your connected email accounts (Google or Microsoft). You are solely responsible for ensuring that your use of this feature complies with Canada's Anti-Spam Legislation (CASL) and any other applicable anti-spam or electronic communication laws.

You represent and warrant that all emails sent through the Service are legitimate press outreach communications and that you have a reasonable basis for contacting each recipient. BeatDesk.io provides the tools; you bear full responsibility for how those tools are used.

We reserve the right to suspend or terminate accounts that generate excessive bounce rates, spam complaints, or that appear to violate CASL or our Acceptable Use policy.

7. Intellectual Property

The Service, including its design, code, algorithms, journalist database, and all associated content, is the intellectual property of BeatDesk Inc. and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

You retain ownership of the Content you submit to the Service (pitches, campaign text, etc.). By submitting Content, you grant us a limited, non-exclusive license to process and store that Content solely for the purpose of providing the Service to you.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

You acknowledge that journalist contact information provided through the Service is sourced from publicly available data and is provided for legitimate press outreach purposes only.

9. Third-Party Services

The Service integrates with third-party services to provide its functionality. These include:

  • Clerk for authentication and account management
  • Google and Microsoft OAuth for email account connectivity
  • Cloud hosting and database infrastructure providers

10. Subscription and Payment

Access to the Service may require a paid subscription. Pricing, billing cycles, and payment terms will be presented at the time of purchase. All fees are in Canadian dollars unless otherwise stated.

We reserve the right to change subscription pricing with 30 days' prior notice. You may cancel your subscription at any time, effective at the end of your current billing period.

11. Limitation of Liability

To the maximum extent permitted by applicable law, BeatDesk Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.

In no event shall our total liability to you exceed the amount you have paid us in subscription fees during the twelve (12) months immediately preceding the event giving rise to the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that journalist data will be complete or fully up to date at all times.

13. Indemnification

You agree to indemnify, defend, and hold harmless BeatDesk Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your Content, your violation of these Terms, or your violation of any applicable law.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, abusive email practices, or non-payment.

Upon termination, your right to use the Service will cease immediately. We may, at our discretion, retain or delete your Content. Provisions that by their nature should survive termination shall remain in effect.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec, judicial district of Montreal.

16. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. If the changes are material, we will notify you by email or by posting a prominent notice within the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance.
